Welcome to Social Synergys. These Terms & Conditions (“Agreement”) govern your access to and use of our website at www.socialsynergys.com (the “Website”) and any services provided by Social Synergys (“we”, “us”, “our”, “Company”). By using the Website or engaging us for services, you (“Client”, “you”, “your”) agree to be bound by this Agreement. If you do not agree, please do not use the Website or our services.

Definitions

• Services – the digital marketing, SEO, PPC, social media marketing, website design & development, brand strategy, content creation and related services we provide.
• Deliverables – the work product we submit to you under a service engagement.
• Agreement – this Terms & Conditions document together with the service proposal or engagement letter you sign.
• Client Materials – any data, content, material or information you provide to us in connection with the Services.
• Confidential Information – any information disclosed by one party to the other that is designated “confidential” or reasonably should be understood as confidential.

Scope of Services

Our services and deliverables are specified in the proposal or engagement letter provided to you. Any services beyond that scope will require a separate agreement or change order and additional fees.

Client Obligations

You agree to provide access to any accounts, systems, content, approvals or information we reasonably require to perform the Services; ensure that all Client Materials are accurate and complete; cooperate with us; and not infringe any third-party rights.

Fees, Payment & Invoices

Fees are set out in your proposal or engagement letter. Payment is due within 7 days of invoice date. Late payments may incur interest at 1.5% per month or the maximum allowed by law. Services may be suspended until payment is made.

Deliverables & Revisions

We will deliver the Deliverables as agreed. Unless stated otherwise, the price includes 1 round of revisions. Additional revisions or out-of-scope work will be billed separately.

Timelines & Delays

We endeavour to meet agreed timelines but are not liable for delays caused by factors beyond our control or delays from your end.

Intellectual Property Rights

Upon full payment of fees, you will own the rights to the Deliverables, except for our pre-existing tools, templates, and third-party materials. We may showcase work in our portfolio unless you opt out in writing.

Confidentiality

Each party agrees to keep confidential all Confidential Information for the term of the engagement and for 2 years thereafter.

Limitation of Liability

Our total liability shall not exceed the total fees paid by you under the engagement. We are not liable for any indirect, incidental, or consequential damages.

Termination

Either party may terminate this Agreement with 30 days’ notice. On termination, you will pay for work done up to the termination date.

Governing Law & Jurisdiction

This Agreement shall be governed by the laws of India, and both parties agree to the exclusive jurisdiction of the courts of New Delhi, India.
